All businesses must be registered for GST to be eligible. COVID-19 Business Support Grant – July 2021 has a minimum $75,000 minimum annual turnover requirement.

Other standard criteria include that a business is located/operating within South Australia, has a valid and active ABN (Australian Business Number) and has an Australia-wide grouped payroll of less than $10 million in the 2019-20 financial year

    To be eligible for the $3,000 grant a business must meet all criteria listed below, at the start of the restriction period of 12:01am Tuesday 20 July 2021:

    • Be located/operating within South Australia.
    • Have an annual turnover of $75,000 or more in 2020-21 or 2019-20, and be registered for GST.
    • Have a valid and active ABN (Australian Business Number).
    • Must employ people in South Australia.
    • Have an Australia-wide payroll of less than $10 million in the 2019-20 financial year.
    • Experienced at least a 30 per cent reduction in turnover in the week of Tuesday 20 July 2021 – Monday 26 July 2021 (inclusive) (compared to the prior week) due to restricted trading conditions.

    To be eligible for the $1,000 grant, non-employing businesses will be subject to the eligibility criteria outlined above, excluding the requirement to employ people.

    Where multiple non-employing businesses meeting the eligibility criteria are controlled by one individual, company, partnership, or trustee, funding will be restricted to one grant for all non-employing businesses controlled by the individual, company, partnership, or trustee.

    Non-employing businesses are not eligible to apply if persons associated with the business, and who derive income from it, have applied for, or are receiving, the Commonwealth COVID-19 Disaster Payment.

    Businesses will be required to declare that they have experienced a loss or reduction in turnover due to restricted trading conditions. They will not be required to provide any supporting information at the time of application but will be required to retain supporting information for 2 years that could be made available for audit and compliance purposes such as:

    • Turnover comparison data for the week prior to the assessment period
    • Emails or texts to or from clients or suppliers detailing cancelled orders or appointments
    • Receipts for refunds provided
    • Invoices or delivery dockets
    • Appointment/scheduling platform, demonstrating cancelled appointments or bookings
    • Screenshots of cancelled events

    We expect there may be periods of significant demand for the application portal, if delays are experienced please be patient, applications may be submitted until 11:59pm on 30 September 2021.

    There has been a high level of interest in the grant program and officers are working to evaluate applications and process payments as quickly as possible. On average, grant applications are expected to take 2 to 3 weeks to pay, however where further information is sought from the applicant it may take longer to process.

    The South Australian Government’s July 2021 COVID-19 Business Support Grant Program supports thousands of South Australian small and medium-sized businesses that suffered a significant loss of income or have been forced to close as a result of the restrictions imposed from 20 July 2021.

  • Businesses seeking payment of a COVID-19 Additional Business Support Grant must lodge an application through the application link – payments are not being made automatically.

    The COVID-19 Additional Business Support Grant has been introduced for industry sectors that are significantly impacted by the COVID-19 density and other trading restrictions applicable from 28 July 2021.

    Grants of $3,000 for employing businesses and $1,000 for non-employing businesses will be available for businesses in eligible industry sectors (those that have been significantly impacted by the restrictions) that have experienced a decline in turnover of 30% or more as a result of the COVID-19 health trading restrictions introduced from 28 July 2021.

    In addition to the above, a further grant of $1,000 will be available for eligible businesses (both employing and non-employing) with a commercial premise in the Adelaide CBD. This recognises the increased number of employees working from home (in line with health advice) and the impact this has on CBD businesses. The Adelaide CBD is defined as a commercial premise located in the 5000 postcode.

    This grant builds on the COVID-19 Business Support Grant – July 2021 which was announced in July and is supporting thousands of South Australian small and medium sized businesses that suffered loss as a result of the restrictions and subsequent lockdown imposed on 20 July 2021. Businesses that received the COVID-19 Business Support Grant – July 2021 are eligible to receive additional COVID‑19 Business Support Grant, subject to meeting all the eligibility criteria.

    To be eligible for the grant, businesses must meet the criteria listed below as at the start of the restriction period of 12:01am Wednesday 28 July 2021:

    • Be located/operating within South Australia.
    • Have a valid and active ABN (Australian Business Number) and be registered for the GST.
    • Have an Australia-wide payroll of less than $10 million in the 2019-20 financial year.
    • Operate in an eligible industry sector identified in the list of eligible ANZSIC classes
    • And must have experienced at least a 30 per cent reduction in turnover due to the restricted trading conditions over the two weeks from 28 July 2021 (the commencement date of the trading restriction) to 10 August 2021 compared to average fortnightly turnover in the June quarter 2021 (prior to restrictions).

    To be deemed an employing business, the business must employ people in South Australia.

    There is no minimum turnover test for the COVID-19 Additional Business Support Grant, but a business must be registered for GST.

    Where multiple non-employing businesses meeting the eligibility criteria are controlled by one individual, company, partnership, or trustee, funding will be restricted to one grant for all non‑employing businesses controlled by the individual, company, partnership, or trustee.

    Businesses must be able to provide evidence of this reduction in turnover if requested and retain these records for 2 years from the date the grant was approved.  Applications may be subject to audit.

  • The South Australian Government has introduced a COVID-19 Tourism and Hospitality Support Grant to support the tourism and hospitality sector in South Australia.
    Businesses in eligible tourism and hospitality sectors that have already received the COVID-19 Additional Business Support Grant can receive a further payment of:

    • $3,000 for employing businesses with turnover less than $2 million
    • $10,000 for employing businesses with turnover of greater than $2 million
    • $20,000 for employing businesses with turnover of greater than $5 million
    • $1,000 for non-employing businesses

    Businesses in eligible tourism and hospitality sectors that have already received the COVID-19 Additional Business Support Grant will be automatically paid top-up grants of $3,000 for employing businesses and $1,000 for non-employing businesses. No additional application is necessary.

    Businesses in the tourism and hospitality sector with a turnover of greater than $2 million and $5 million will also be eligible for a further grant of $7,000 and $17,000 respectively (taking the total value to $10,000 and $20,000).  These businesses will need to apply separately and provide the required supporting evidence to receive the additional $7,000 or $17,000 payment.

    Applications for the larger (turnover based) COVID-19 Tourism and Hospitality Support Grant will be opening Friday 17 September 2021 through the Department of Treasury and Finance application portal.

    To be eligible for the COVID-19 Tourism and Hospitality Support Grant, businesses must meet the following criteria:

    • Have received a COVID-19 Additional Business Support Grant (see Eligibility Guidelines); and
    • Have nominated as part of their COVID-19 Additional Business Support Grant application that they operate in an eligible industry sector as identified in the list of eligible ANZSIC classes.

  • A COVID-19 Business Hardship Grant has been introduced to provide assistance to small and medium businesses that have been significantly impacted by COVID-19 restrictions but haven’t been eligible for previous business grant support since July 2021.

    Grants of $6,000 for employing businesses and $2,000 for non-employing businesses will be available for eligible businesses that have experienced a 50 per cent reduction in turnover when compared to the benchmark period determined below.
    Under the scheme, an eligible business:

    • Must select a relevant two week period between 20 July 2021 (beginning of lockdown) and 31 August 2021 (impacted period) where they experienced a 50 per cent reduction in turnover when compared to a relevant two week benchmark period in 2019 (or 2021);

    AND

    • Must not have received grant assistance through the COVID-19 Business Support Grant or COVID-19 Additional Support Grant provided by the South Australian Government following the 20 July 2021 lockdown.

    The Impacted and Benchmark Periods are defined as incorporating the dates within:

    • Impacted Period: 20 July 2021 to 31 August 2021
    • Benchmark Period:
      • For businesses that were actively trading in 2019: 20 July 2019 to 31 August 2019, or
      • For businesses that were not actively trading in 2019: 1 January 2021 to 30 June 2021.
    • Comparison point:
      • For businesses actively trading in 2019, the comparison point should be a two week period at similar time of the year unless there are exceptional reasons as to why a different time is chosen, noting that slight adjustments for trading days are acceptable; or
      • Businesses not actively trading in 2019, should reflect a normal level of trading activity for a business between 1 January 2021 to 30 June 2021.

    There is no ANZSIC code eligibility for the COVID-19 Business Hardship Grant. The 50% turnover decline criteria is the key measure of hardship.

    • Be located/operating within South Australia.
    • Have a valid and active ABN (Australian Business Number) and be registered for GST.
    • Have an Australia-wide grouped payroll of less than $10 million in the 2019-20 financial year.

  • The South Australian Government has introduced a Regional COVID-19 Support Grant – Lower South-East to support businesses impacted by restrictions introduced in South Australia’s Lower South-East.

    Grants of $3,000 for employing businesses and $1,000 for non-employing businesses are available to eligible businesses impacted by the COVID-19 health trading restrictions introduced from 4 October 2021.

    All businesses in eligible tourism and hospitality sectors that have received a grant under the COVID-19 Tourism and Hospitality Support Grant, and are based in eligible postcodes, will automatically receive a top-up payment of $3,000 for employing businesses and $1,000 for non-employing businesses. No additional application is necessary.

    Other businesses based in eligible postcodes that have experienced a decline in turnover of 30% or more over the defined eligibility period will be able to apply for the Regional COVID-19 Support Grant – Lower South-East through an application portal.

    It is expected that the application portal will be available for applications shortly.

    To be eligible for the grant a business at the start of the restriction period of Monday 4 October 2021 must:
    • Have a valid and active Australian business number (ABN) and be carrying on the operation of a business in South Australia.
    • Be operating a business in an eligible postcode.
    • Be registered for the GST.
    • Have a total Australian grouped payroll of less than $10 million in the 2019-20 or 2020‑21 financial year.
    • Not be engaged in illegal activities.

      And

      • Have received a grant under the COVID-19 Tourism and Hospitality Support Grant (these payments will be made automatically and do not require an application);

      or

      • Be a business that has experienced at least a 30 per cent reduction in turnover due to the restricted trading conditions over the week from 4 October 2021 (the commencement date of the trading restriction) to 10 October 2021 compared to average weekly turnover in the June quarter 2021 (prior to restrictions).

  • Standard event: 1,000 to 10,000 attendees

    A Major Events Support Grant of up to $25,000 is available for the operators of major one-off events impacted by the July lockdown and subsequent trading restrictions.

    To be eligible for the grant a business must:

    • Have  a valid and active ABN (Australian Business Number) and be registered for the GST.
    • Have an Australia-wide payroll of less than $10 million in the 2019-20 financial year.
    • Employ people in South Australia.
    • Be the organiser/operator of an event that:
      • commenced on or prior to 20 July 2021, and was required to be cancelled/postponed as a result of State‑wide lockdown and further restrictions; or
      • was scheduled to be held over period of State-wide lockdown or restrictions commencing 20 July 2021 up to 10 August 2021 and has been cancelled/postponed as a result of the restrictions.
    • The event was a one-off event with an approved COVID Management Plan or COVID Safe Plan catering for an event of over 1,000 combined capacity in one or across multiple locations.
      • Entities with an on-going COVID-19 Management/Safe Plan for regularly scheduled events are not eligible.
    • Have incurred a non-recoverable financial loss as a result of the cancellation or postponement of the event.

    To receive the full $25,000 grant, organisers must have experienced a non-recoverable loss that was greater than $25,000.

    To the extent that the business received support under the COVID-19 Business Support Grant – July 2021 and/or the COVID-19 Additional Business Support Grant, these amounts will be deducted from the Major Events Support Grant.

    Larger event: more than 10,000 attendees

    An increased grant amount of up to $100,000 is available for cancelled or postponed events with greater than 10,000 attendees.

    To be eligible for an increased grant amount an organiser must meet the following criteria, in addition to those for the $25,000 Major Events Support Grant:

    • Provide evidence that forecast attendance over the period of the event was over 10,000 attendees (eg ticket sales).
    • Provide evidence of a non-recoverable financial loss as a result of the cancellation or postponement of the event equivalent to the requested grant amount (e.g. up to $100,000).

    Where non-recoverable costs are less than $100,000, the grant is capped at the level of non-recoverable costs.  Where an applicant has already received the $25,000 grant, the top up grant will be adjusted accordingly so total grants do not exceed $100,000.

  • On 31 October 2020 the South Australian Government announced the Local Government Infrastructure Partnership Program to support councils to accelerate spending on community infrastructure projects that contribute to the future economic growth of their region, or support the Government’s Growth State agenda, or improve local infrastructure facilities for businesses and community organisations to enable them to grow in the future.

    The South Australian Government commitment of $106.9 million will leverage an estimated total $270 million to $290 million investment in local government infrastructure.

    Under the program, the State Government provided grants to councils for up to 50 per cent of the cost of approved infrastructure projects. Councils could fund their contribution either through their own reserves or borrowings. Infrastructure projects could include other funding partners, including the Commonwealth Government and/or local businesses.

    Applications for the grant closed on 29 January 2021.

    Applications were assessed by an independent panel comprising staff from the Office of Local Government and the Department of Treasury and Finance.

  • The South Australian Government announced a second round of rental grants of up to $1,000 for residential landlords who reduced the rent of a tenant experiencing rental hardship due to the COVID-19 pandemic.

    To be eligible for a second grant, an agreement needed to be in place (eg. revised rent agreement) that reflected that the landlord had provided rent relief to a tenant from 1 October 2020 and provided such relief before 30 March 2021 (inclusive).

    Applications for the second round of rental grants closed on 30 March 2021.

  • A number of payroll tax relief measures have been introduced to support businesses during the COVID-19 pandemic, including:

    • An exemption of all Commonwealth JobKeeper payments from payroll tax.
    • A 15 month waiver of payroll tax due over the period April 2020 to June 2021 (relating to the payroll tax return period March 2020 to May 2021) for businesses and business groups with annual Australian grouped wages below $4 million.
    • a six month waiver of payroll tax due over the period January 2021 to June 2021 (relating to payroll tax return period December 2020 to May 2021) for businesses that are eligible for the extended Commonwealth JobKeeper payment from 4 January 2021.
    • Up to a nine month deferral of payroll tax due over the period April 2020 to December 2020 for businesses with annual wages above $4 million adversely affected by COVID-19. Extended repayment arrangements for deferred payroll tax are also available.
    • A 12 month payroll tax exemption for wages paid to eligible new apprentices and trainees who commence a relevant contract of training with an employer from 10 November 2020 to 30 June 2021.

  • From July 2020, the South Australian Government’s significant land tax reforms began delivering $200 million in savings to investors and landlords over the next three years.

    In addition, the Government has announced land tax relief measures to support residential and non-residential tenants and land owners impacted by COVID-19. These measures include:

    • Residential and non-residential landlords can receive up to a 50 per cent reduction on their 2019-20 land tax liability on affected properties. There are two stages to the land tax relief measure for residential and non-residential landlords:
    • * Period 1: 30 March 2020 to 30 October 2020
    • * Period 2: 31 October 2020 to 30 April 2021

    Each period is assessed separately, with up to 25 per cent relief on 2019-20 land tax liabilities for the relevant property available in each period. The land tax relief only applies if a reduction in rent is passed on to an eligible tenant in the relevant period of at least the same amount as the land tax relief, or if the landlord lost rent because of an untenanted property over the relevant period that was tenanted as at 31 March 2020.

    Eligible non-residential tenants are businesses eligible for the Commonwealth JobKeeper payment in the relevant period with an annual turnover of not more than $50 million. Eligible residential tenants are tenants experiencing financial hardship due to COVID-19 in the relevant period.

    • Commercial owner-occupiers who own the land where they operate their business are eligible to receive relief of 25 per cent off their 2019-20 land tax liabilities in period 2 (31 October 2020 to 30 April 2021). Relief is available where the business is eligible for the Commonwealth Government’s JobKeeper payment from 31 October 2020 and annual turnover is not more than $50 million.
    • eligible taxpayers with an outstanding 2019-20 land tax liability can defer their 2019‑20 remaining land tax payments for up to six months.
    • an increase to the existing land tax transition fund relief.

    It was previously announced that transitional relief equivalent to 50% of the increase in a 2020-21 land tax assessment would be available to eligible taxpayers whose land tax bill had increased as a result of the changes in aggregation of land commencing from 1 July 2020.

    This relief has been increased to 100% of the increase in an eligible taxpayer’s 2020-21 land tax assessment, subject to the existing criteria – saving some investors up to an additional $50,000.

  • The Government is providing grant support for eligible international students in South Australia who have experienced financial challenges during the COVID-19 pandemic.

  • The Government will provide a waiver of annual liquor licencing fees for 2020-21 for the following liquor licence categories:

    • On Premises
    • Residential
    • Restaurant & Catering
    • Club
    • Liquor Production & Sales
    • Small Venue

    Holders of a General and Hotel licence who have a bottle shop will receive reduced fees, or a full waiver if they do not have a bottle shop.

    Packaged Liquor Sales licence fee will not be reduced or waived.  Licensees who believe that they should receive a discount may still apply for a fee reduction through the CBS website from 1 June.

  • The Government is providing a once off boost of $500 and brought forward the 2020-21 Cost of Living Concession for households who are receiving the Centrelink JobSeeker Payment, assisting those who are unemployed or lose their jobs as a result of the coronavirus restrictions.

    For eligible homeowners, their 2020-21 payment of $215.10 will now become $715.10. Eligible tenants will receive $607.60.

  • Economic and Business Growth Fund

    The Government has announced increased funding for the Economic and Business Growth Fund under its $4 billion economic stimulus package. The Economic and Business Growth Fund was established in 2018 to promote economic growth in South Australia by encouraging growth of existing industries, developing new industries, building international connections, and attracting foreign and national direct investment. Funding support is primarily targeted to support industry or sector wide led initiatives which improve the overall productivity and competitiveness of an industry sector or subsector.

  • The State Government recognises that some sporting clubs that have been impacted by the COVID-19 restrictions are still required to maintain playing surfaces, including watering large ovals etc. To support those clubs that have significant water bills to pay, the State Government will provide financial assistance towards water and sewerage bills issued between April and June 2020.

    The grant is being funded from the Community and Jobs Support Fund as part of the State Government’s broader $650 million Jobs Rescue Package.

    Eligible sporting clubs/associations will receive a grant equivalent to 50 percent of the water and sewerage costs1 incurred in the eligible billing period^.

    To be eligible for this grant, a sporting club must:

    • Be an incorporated sporting club in South Australia that maintains facilities and groundsthat require significant water usage;
    • Have annual grouped Australian payroll of less than $1.5 million, and not be entitled to a payroll tax waiver under the State Government's COVID-19 support measures;
    • Be responsible for paying a SA Water (or other water supplier) water and sewerage bill directly or explicitly required to pay for water as part of its lease arrangements e.g. the club makes a specific water contribution as part of its lease to the lessor.

    Eligible sporting clubs that have received a $10,000 Small Business Grant will receive a Water Relief Grant equivalent to 50 percent of the water and sewerage costs1 incurred during the eligible billing period less the $10,000 Small Business Grant. When determining the size of the Water Relief Grant for associations that manage sporting grounds on behalf of incorporated sporting clubs, regard will be had to whether the association or sporting clubs that use the facilities received the $10,000 Small Business Grant.

    An incorporated association will be eligible for a Water Relief Grant if it:

    • Manages a sporting ground on behalf of incorporated sporting clubs that use the grounds on a not-for-profit basis;
    • Has annual grouped Australian payroll of less than $1.5 million, and not be entitled to a payroll tax waiver under the State Government’s COVID-19 support measures;
    • Is responsible for paying an SA Water (or other water supplier) water and sewerage bill to manage the sporting ground;
    • The relevant sporting clubs that use its grounds meet all of the criteria to qualify for the WRG, except for the having a water bill in its name or being on-charged for water; and
    • The incorporated association agrees to on-pass the benefit of the water relief to the relevant sporting clubs as soon as possible.

    This grant is not available to:

    • State sporting associations/bodies that have received assistance from the South Australian Government as a result of the impact of COVID‑19 on its industry.
    • Local Councils that water sporting grounds used by sporting clubs.
    • Educational institutions.
    • Organisations whose predominant purpose is to offer camping, caravanning, park or garden facilities.

    Eligibility will be determined based on an application. The sporting club must provide evidence:

    • That it is an incorporated sporting association operating in South Australia.
    • That it is required to maintain playing facilities that require significant water usage.
    • Outlining the nature of playing facilities, maintenance requirements and separately identify water charges.
    • Of the water and sewerage bill issued between 1 April and 30 June 2020 from SA Water (or another provider) or the landlord.
    • To prove payment of the water and sewerage bill that was issued between 1 April and 30 June 2020 to SA Water (or other provider) or the landlord3.
    • Of subsequent payment of water and sewerage bill issued between 1 April and 30 June 2020 to SA Water (or other provider) or landlord on receipt of the Government’s water relief payment.

    The use of the funds is to support eligible sporting clubs maintaining their playing facilities.

    The Government of South Australia has established a Business Support Grant to support South Australian businesses and organisations that do not employ staff and whose turnover has significantly declined as a result of COVID-19 health restrictions since 20 July 2021.
    Eligible businesses will be provided with a once-off $1,000 grant to support them in these difficult circumstances.

    Eligibility

    Non-employing businesses are eligible to apply for a Business Support Grant provided they meet the following criteria: At the start of the COVID-19 health restriction period of 12:01am Tuesday 20 July 2021:

    • Have a valid and active Australian business number (ABN) and were carrying on the operation of a business in South Australia.
    • Did not employ people.*
    • Have an annual turnover of more than $75,000 (excluding GST) in either 2019-20 or 2020-21 and be registered for GST.
    • Have total Australian payroll of less than $10 million in 2019-20.
    • Experienced at least a 30 per cent reduction in turnover in the week defined as Tuesday 20 July 2021 – Monday 26 July 2021 (inclusive) (compared to the prior 7-day period) due to restricted trading conditions^^.
    • The enterprise does not engage in illegal activity.

    *To be considered an employee, staff must be under the control of the business, receive regular PAYG salary or wages, and have Pay As You Go Withholding amounts as well as superannuation paid by the employer. An owner, partner, or beneficiary of a trust is not considered to be an employee for the purpose of this grant.

    ^^Businesses will be required to declare a reduction in turnover due to restricted trading conditions. They will not be required to provide any supporting information at the time of application but will be required to retain supporting information that could be made available if required such as:

    • Turnover comparison data for the week prior to the assessment period;
    • Emails or texts to or from clients or suppliers detailing cancelled orders or appointments;
    • Receipts for refunds provided;
    • Invoices or delivery dockets;
    • Appointment/scheduling platform, demonstrating cancelled appointments or bookings; and / or
    • Screenshots of cancelled events

    Non-employing businesses are not eligible to apply if persons associated with the business, and who derive income from it, have applied for, or are receiving, the Commonwealth COVID-19 Disaster Payment.

    Applicants must certify that they meet the eligibility criteria when submitting an online application.

    Applicants will be subject to audit by the Government of South Australia or its representatives and will be required to produce evidence at the request of the Government for a period of 2 years after the grant has been approved.

    If any information in applications is found to be false or misleading, the grant will be repayable on demand.

    Available Funding

    The grant amount is $1,000 per eligible business. Where multiple non-employing businesses meeting the eligibility criteria are controlled by one individual, company, partnership, or trustee, funding will be restricted to one grant for all non-employing businesses controlled by the individual, company, partnership, or trustee.

    Grant Use

    Grants are provided to support eligible businesses that have been adversely impacted by restrictions enacted by State or Commonwealth government due to COVID-19.  This may include for example:

    • Meeting business costs, including utilities, rent;
    • Seeking financial, legal or other advice to support business continuity planning;
    • Developing the business through marketing and communications activities; and / or
    • Other supporting activities related to the operation of the business.

    How to Apply

    Applicants are required to submit an application online via the COVID-19 Business Support Grant – Application Portal. All questions in the application need to be completed to ensure timely assessment and grant payment.

    The online application must be completed by an Authorised Officer, being:

    • In the case of a business that is a sole trader, the sole trader.
    • In the case of a business that is a partnership, a partner.
    • In the case of a business that is a body corporate, a director, secretary, public officer or equivalent.

    Note: It is permissible for an agent such as an accountant or lawyer to submit the application on behalf of business provided they have been instructed to do so by the above Authorised Officer.

    Applicants must meet the requirements of the grant to be eligible.

    Business Support Grants (non-employing business) will be provided to successful applicants by the Department of Treasury and Finance (DTF). Whether an applicant is successful or not will be determined by DTF in its absolute discretion.   • AGREED TERMS

    1. FUNDING AND INVOICING

    1.1 The Recipient must not issue a Tax Invoice in respect of a Taxable Supply.

    2. PROVISION OF INFORMATION

    2.1 If DTF reasonably suspects that the Recipient was not eligible for the Grant, it may request additional information from the Recipient and the Recipient must promptly comply with such request.

    3. INSPECTION

    3.1 The Recipient must allow any officer or person authorised by DTF on the giving of reasonable notice, to enter the premises of and to inspect the operations of the Recipient (including remises, accounting records, documents and information) and interview the Recipient’s personnel on matters pertaining to the operations of the Recipient and the Recipient’s eligibility for the Grant.

    4. DEFAULT AND TERMINATION

    4.1 If DTF determines that the Recipient:

    (a)    provided false or misleading information in its Grant application;

    (b)    is otherwise ineligible for the Grant; or

    (c)    has failed to comply with this Agreement at any time;

    DTF may upon giving written notice to the Recipient:

    (d) require the Recipient to repay either the whole or a portion of the Grant (whether expended or not) within 30  days of a written demand from DTF, and the Recipient will comply with such demand;

    (e) withhold funds not already paid;

    (f) withhold future funding from the Recipient; and/or

    (g) terminate this Agreement.

    5. EFFECT OF ENDING THIS AGREEMENT

    5.1 Any termination of this Agreement does not affect any accrued right of either Party.

    5.2 Despite termination or expiry of this Agreement, this clause 5 and clauses 2, 3, 4, 6 and 7, will survive.

    6. CONTRACT DISCLOSURE

    6.1 DTF may disclose this Agreement and/or information in relation to this Agreement in either printed or electronic form, and either generally to the public or to a particular person as a result of a specific request.

    6.2 Nothing in this clause derogates from:

    (a)    the Recipient’s obligations under any provisions of this Agreement; or

    (b)    the provisions of the Freedom of Information Act 1991 (SA).

    7. GOVERNING LAW AND JURISDICTION

    7.1 This Agreement is governed by the laws in the State of South Australia.

    7.2 The courts of the State of South Australia have exclusive jurisdiction in connection with this Agreement.

    8. ENTIRE AGREEMENT

    8.1 This Agreement constitutes the entire agreement between the Parties in respect of the matters dealt with in this Agreement and supersedes all prior agreements, understanding and negotiations in respect of the matters dealt with in this Agreement.

    9. NO ASSIGNMENT

    9.1 The Recipient must not assign, encumber or otherwise transfer any of its rights or obligations under this Agreement without the written approval of DTF.

    10. MODIFICATION

    10.1 No addition to or modification of any provision of this Agreement will be binding upon the Parties unless agreed by the Parties in writing.

    11. NO FURTHER OBLIGATION

    11.1 The Recipient acknowledges that the Grant represents a one-off payment by DTF, and DTF is under no obligation to agree to pay any subsequent funding to the Recipient.

    12. INTERPRETATION

    12.1 In this Agreement (unless the context requires otherwise):

    (a)    a reference to any legislation includes:
    (i)       all legislation, regulations and other forms of statutory instrument issued under that legislation; and

    (ii)      any modification, consolidation, amendment, re-enactment or substitution of that legislation;

    (b)    a word in the singular includes the plural and a word in the plural includes the singular;

    (c)    a reference to two or more persons is a reference to those persons jointly and severally;

    (d)    a reference to dollars is to Australian dollars;

    (e)    a reference to a Party includes that party’s administrators, successors and permitted assigns.

    13. DEFINITIONS

    In this Agreement:

    (a)    “Agreement” includes these Grant Terms and Conditions and the Grant application form.

    (b)    “DTF” means the Treasurer of South Australia acting through the Department of Treasury and Finance;  “Grant” means the Small Business Grant: Covid-19 Assistance received by the Recipient From DTF;

    (c)    “Party” means a party to this Agreement;

    (d)    “Recipient” means the business that has applied for and received the Grant.
